Terms of Service

Last updated

These terms govern your use of QuaTick. By creating an account or using the platform you agree to them. Read the sections on what QuaTick is not, and on risk and liability, carefully — they define the limits of what the platform does and what you remain responsible for.

What QuaTick is

QuaTick is trading software. It connects to broker accounts you already hold, using each broker's official API, and provides tools to view your positions, analyse markets, design strategies, backtest them and automate their execution on your instruction.

What QuaTick is not

  • Not a broker. We do not execute trades on our own account, do not hold client funds or securities, and are not a member of any exchange.
  • Not an investment adviser. Nothing on the platform is a recommendation to buy, sell or hold any instrument. Indicators, screens, signals, marketplace listings and backtest results are analytical outputs, not advice.
  • Not a guarantee of profit. No feature of the platform makes a profitable outcome more likely as a matter of certainty.
  • Not a substitute for your own judgement or for professional advice from a licensed adviser.

Eligibility and your account

  • You must be at least 18 and legally able to enter into a contract.
  • You must hold a valid trading account with at least one supported broker to use execution features.
  • You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
  • You are responsible for all activity under your account, including orders placed by strategies and bots you have created and started.
  • One person per account. Do not share credentials or resell access.

Broker connections and your responsibility

When you connect a broker, you authorise QuaTick to place, modify and cancel orders and to read account state through that broker's API on your instruction. You remain solely responsible for:

  • Obtaining and maintaining API access from your broker, including any fees the broker charges for it.
  • Complying with your broker's terms and with any algorithm registration or approval requirements they impose.
  • The strategies and bots you configure, the parameters you set and the risk limits you choose.
  • Monitoring your positions. Automation reduces manual effort; it does not transfer responsibility for your book.

Acceptable use

You agree not to:

  • Use the platform for market manipulation, spoofing, layering, wash trading or any activity prohibited by an exchange or regulator.
  • Attempt to gain unauthorised access to the platform, other users' data, or our infrastructure.
  • Scrape, resell or redistribute market data obtained through the platform in breach of the originating exchange's or broker's licensing terms.
  • Reverse engineer, decompile or attempt to extract source code, except where that right cannot lawfully be excluded.
  • Upload malicious code to the marketplace, or publish listings that misrepresent what they do.
  • Overload the service with automated requests beyond documented rate limits.

Subscriptions, credits and billing

  • The free tier is available with no payment. Paid plans are billed monthly or annually in advance.
  • QTK credits meter platform actions such as order placement, automated runs and backtests. Each plan includes a monthly allowance. Credits do not represent money, a security or a cryptocurrency, are not transferable, and have no cash value.
  • Upgrades and downgrades take effect immediately, with billing prorated.
  • Brokerage, exchange fees, statutory taxes, and any broker API charges are billed by your broker and are separate from your subscription.
  • We may change plan pricing with reasonable notice. Existing billing periods are honoured at the price you were charged.
  • Refunds are handled under our Refund Policy.

Availability and third-party dependencies

The platform depends on third parties we do not control: broker APIs, exchange feeds, market data providers and cloud infrastructure. Outages, rate limits, latency, authentication changes or data errors at any of those can affect the platform, including preventing an order from reaching your broker. We work to minimise disruption and publish an uptime target on Enterprise plans, but we do not guarantee uninterrupted availability on self-serve plans.

Marketplace content

Indicators, strategies, bots, overlays and courses published on the marketplace may be created by third parties. We do not endorse them, verify their profitability or warrant that they are fit for your purpose. Review the source code and backtest anything you intend to trade before you deploy it with real capital. Authors retain ownership of what they publish and grant other users a licence to install and use it on the platform.

Intellectual property

The platform, its software, design, documentation and brand are owned by QuaTick. You retain ownership of the strategies, indicators and content you create. Using the platform grants you a limited, non-exclusive, non-transferable licence to access it in accordance with these terms; it does not transfer any ownership in the platform itself.

Risk and limitation of liability

Trading in securities, derivatives and cryptocurrencies carries substantial risk of loss, including loss exceeding your initial capital in leveraged instruments. You accept that risk entirely.

To the maximum extent permitted by law, QuaTick is not liable for trading losses, missed opportunities, incorrect or delayed market data, orders that fail to transmit or execute, broker or exchange outages, or any indirect, incidental, special or consequential damages. Where liability cannot be excluded, it is limited to the subscription fees you paid in the twelve months preceding the claim.

The platform is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose or non-infringement, except those that cannot lawfully be disclaimed.

Termination

You may close your account at any time from your settings or by contacting support. We may suspend or terminate an account that breaches these terms, that we reasonably believe is being used unlawfully, or where required by a regulator or broker. On termination, access ends, running bots are stopped and stored broker credentials are revoked and deleted.

Governing law and disputes

These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute arising from them. Before starting formal proceedings, please contact us so we can attempt to resolve the matter directly.

Changes to these terms

We may revise these terms as the platform develops. The "last updated" date above reflects the current version, and material changes will be notified before they take effect. Continuing to use the platform after a change means you accept the revised terms. Questions: support@quatick.com.
